1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Fidesagro ("we," "our," or "us") governing your access to and use of the Fidesagro website, platform, and services.

By accessing or using our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into these Terms, and agree to be bound by them. If you do not agree, you must not use our services.

2. Our Services

Fidesagro provides an agricultural technology and financial services platform that includes, but is not limited to:

• Climate-smart agricultural insurance products for smallholder farmers
• Community expansion and champion application services
• Institutional partnership programs for NGOs, lenders, underwriters, and government agencies
• Business registration and Taxculator tools
• Newsletter and educational content distribution

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. User Accounts

When you create an account with us, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

You agree not to use our services to:

• Violate any applicable law, regulation, or third-party rights
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to our systems or other users' data
• Interfere with or disrupt the integrity or performance of our platform
• Use automated systems (bots, scrapers) to access our services without permission
• Transmit malicious code, viruses, or any harmful content

5. Payments & Billing

Certain services on our platform require payment, including business registration and Taxculator services. By making a payment, you agree that:

• All payment information provided is accurate and authorized
• Payments are processed securely through Stripe and/or Paystack
• Prices are displayed in the applicable currency and may be subject to change
• Refunds are handled on a case-by-case basis at our discretion
• Discount codes are subject to their specific terms and expiration dates

We are not responsible for any fees charged by your bank or payment provider in connection with your use of our services.

All content on the Fidesagro platform — including text, graphics, logos, images, software, and design elements — is the property of Fidesagro or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

7. User-Submitted Content

By submitting information through our forms (applications, contact requests, partnership inquiries), you grant Fidesagro a non-exclusive, worldwide, royalty-free license to use, store, and process that information for the purposes described in our Privacy Policy. You represent and warrant that any information you submit is accurate and does not infringe on the rights of any third party.

To the maximum extent permitted by applicable law, Fidesagro and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of our services, even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Fidesagro and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your violation of these Terms, your use of our services, or any content you submit through our platform.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, if you breach any provision of these Terms. Upon termination, your right to use our services will cease immediately, but provisions that by their nature should survive termination (including intellectual property rights, disclaimers, and limitation of liability) will remain in effect.
